Welcome to Kyra. These Terms and Conditions ("Terms") govern your use of Kyra—the AI-enabled personal "Life OS"—and all software, content, and services (collectively, "Services") delivered via our website, mobile apps (iOS, Android), or other platforms.
References to "Kyra," "we," or "us" refer to ZD Integrated Circuits, Inc., a Florida S-Corporation, operating from Florida. Our contact email is info@zdi.com.
By using our Services, you agree to these Terms and all applicable laws. If you do not agree, do not use Kyra.
Kyra is a proactive personal assistant software offering task automation, conversational interaction, scheduling, wellness insights, and more.
Kyra is not a medical or mental health provider. The Services are not intended to diagnose, treat, cure, or prevent any medical or mental health conditions. Always seek professional medical advice for health-related concerns.
Do not use Kyra in emergencies. Call 911 or your local emergency services. If you feel you may harm yourself or others, seek immediate help.
We may modify, suspend, or discontinue the Services (or any part) at any time, with or without notice, and Kyra is not liable for such changes.
You must create an account to access Kyra. Provide accurate, current, and complete information. Your data is handled under our Privacy Policy.
You are responsible for your credentials and all actions taken under your account. Notify us immediately of any unauthorized use.
Registered users may have access to additional features. Subscriptions are personal and not transferable.
Kyra offers several plan levels (e.g., Free, Pro, Premium). Fees, terms, and available features are clearly presented during signup. You may be billed via app stores or payment processors (Stripe, etc.).
Subscriptions renew automatically unless canceled prior to the next billing cycle. Failed payments may result in account downgrade. Refunds are handled per each platform's policy and applicable law.
You may cancel at any time. Paid subscriptions remain active through the current period. If purchased via an app store, cancel via the store's system.
We may suspend or terminate your access for violations of these Terms, without notice.
We may enforce usage limits (data retention, storage, account inactivity). Content removal or account termination may occur at our discretion.
Mobile access may use carrier data. You accept possible carrier charges. If your number changes, promptly update your account.
You are responsible for user-generated content ("Your Content"). Prohibited behaviors include but are not limited to:
Kyra may integrate with social or third-party services (e.g., Google Calendar, Stripe). Such connections are also governed by the third parties' terms and privacy policies.
All software, content, and trademarks in Kyra are owned by ZD Integrated Circuits, Inc. or used with permission. Unauthorized use may result in legal action.
Content you upload remains yours but is licensed to Kyra (royalty-free, worldwide, transferable) for Service use and promotion.
The Services are provided "as is" without warranties. We disclaim warranties of accuracy, reliability, or fitness.
To the fullest extent allowed by law, Kyra will not be liable for indirect, incidental, or consequential damages. Liability—if any—will be capped at the greater of $100 or what you have paid in the last six months.
You agree to indemnify Kyra and its affiliates against any loss or claim arising from your misuse of the Services or violation of these Terms.
Except for small-claims cases, disputes will go through binding arbitration under AAA rules. You waive any right to class action lawsuits.
Before arbitration, you must send a written Notice of Dispute to info@zdi.com. If no resolution occurs within 60 days, arbitration may proceed.
